Location: Shanghai/Beijing
Responsibilities:
• Conversant with the full spectrum of corporate secretarial duties
• Expected to be able to prepare documents related to incorporation of companies, changes of directorships, increase in authorised and paid up share capital, transfer of shares, notices and minutes of board meeting and shareholders' meeting, winding up of companies, filing of documents and annual returns to relevant bureaus
• Manage and developing account relationships, administration and corporate law/shareholder/director related issues and ongoing management of new/existing/potential clients
• Ensure compliance with statutory/regulatory requirements and the submission of all requisite forms, returns and documents and to advise the same
• Involvement in research, license applications and matters regarding change to the China laws
• Correspond with authorities/client in connection with legal and company secretarial matters/enquiries
• Any other tasks instructed and assigned by the managers
• Overseeing daily work performed by junior staff and providing guidance and training
Requirements:
• Candidate must possess Bachelor degree majoring in law (ICSA preferred), Business Administration or English
• At least 3 years relevant working experience; preferably in a CPA /law firm, if not, in a corporate secretarial firm
• Confident and experience in liaising with government department will be an advantage, but not essential
• Excellent communication, efficient, diligent and responsible in following up on outstanding matters
• Good knowledge, understanding and experience in company legislation, corporate secretarial procedures, regulatory codes and compliance requirements
• Meticulous & able to work independently
• Preferably able to commence work immediately or within short notice
